Board of Directors Annual Meeting

Board Meeting - 3 hour strategy session + Elections
The Board of Directors shall consist of no less than five (5) members and no more than ten (10) members. Election to the Board of Directors shall be by majority vote of the members attending the annual meeting, except in the case of filling vacancies. Each Director shall hold office for a term of two (2) years and thereafter until his/her successor is elected and qualified.
President — The duties of the President shall be to conduct meetings, direct business of the organization, call special meetings when necessary and any other duties as needed.
Vice President — The Vice President shall assume the duties of the President in his/her absence. In the event of death, resignation or removal of the President, the person who serves as Vice President shall assume the office of President until the Board of Directors elects a successor to the President, and he/she shall perform all such duties as may be prescribed by the Board of Directors from time to time.
Secretary — The Secretary shall keep minutes and attendance records for all meetings of the Board of Directors. The Secretary shall also maintain informational records submitted by committees as necessary. The Secretary will validate members in good standing at the annual business meeting, and he/she shall perform all such duties as may be prescribed by the Board of Directors from time to time.
Treasurer — The Treasurer shall a) have charge of the funds of Berthoud Local, b) conduct its banking business and c) accredit all accounts of Berthoud Local. The Treasurer shall maintain complete records of Berthoud Local’s finances and coordinate to work with Project Groups regarding their financial transactions. The Treasurer shall provide the Board of Directors with a self-reconciling financial report on a quarterly basis. All funds received shall be deposited in the organization’s checking account(s). And, he/she shall perform all such duties as may be prescribed by the Board of Directors from time to time.
