Notice of Special Meeting

As outlined in Article II of the current Bylaws of Chester County United Way, a Special Meeting of the Membership will be held during this event at 150 Penn Oaks Drive, West Chester, PA, at 11:30 am.

Purpose:

To vote on adopting the proposed Amended and Restated Bylaws, which would:

• End status as a membership corporation and shift governance to a self-perpetuating Board of Directors
• Remove the need for member votes on Board appointments and Bylaws changes
• Update Board roles, permit virtual meetings, and clarify officer duties

These changes are recommended by the Board of Directors following a review of nonprofit best practices and legal counsel. If approved, the new Bylaws will fully replace the current version, streamline governance and increase flexibility, while aligning with how most leading nonprofits operate today. This will also strengthen board accountability and reduce operational complexity.
