IMPORTANT STUDIO POLICY:North Carolina Dance Institute does NOT allow shoes worn outdoors in the studio.As this is a pop-up event, we recommend dancing barefoot, in socks, or wearing traditional dance footwear such as ballet slippers or jazz shoes. Please plan accordingly.

RELEASE AND WAIVER OF LIABILITY, ASSUMPTION OF RISK AND INDEMNITY AGREEMENT

This RELEASE AND WAIVER OF LIABILITY, ASSUMPTION OF RISK AND INDEMNITY AGREEMENT ("Release") is made and provided by the person signing below ("Participant"), who is being permitted to enter any location where KARDIOJAM, LLC, a North Carolina Limited Liability Company ("Company"), conducts or sponsors activities. These include, but are not limited to, classes, workshops, retreats, and both indoor and outdoor spaces (“Property”) to participate in the physical and fitness community environment ("Activities") sponsored, promoted, or conducted by or associated with KARDIOJAM, LLC. The Participant desires to enter the Property to engage in various types of dance and cardio. Participant acknowledges and agrees that entering into this Release is required as a condition to entering and/or using the Property and participating in the Activities. This Release shall be effective on the date of its execution and delivery by Participant.

In consideration of KARDIOJAM, LLC permitting Participant to enter on the Property and participate in the Activities, the undersigned, on behalf of Participant, Participant’s personal representative, heirs, and next of kin, does hereby stipulate and agree:

1. Acknowledgment and Assumption of Risk

Participant understands and acknowledges that the Activities that will take place on the Property involve inherent risks and are very dangerous, and that Participant may sustain serious bodily injury, including temporary or permanent disability, paralysis, and death, as well as property damage. Such risks and dangers may be caused by the Participant's own actions or inactions, the actions or inactions of other participants in the Activities, the condition of the Property, adverse weather conditions, or the negligence of the Released Parties (as defined in Section 3 of this Release). Participant also acknowledges that any injuries Participant may sustain may be compounded or increased by negligent or delayed rescue operations or procedures of the Released Parties. Participant further acknowledges there may be other risks and economic losses, which may be known to the Participant or may be unforeseeable, that are presented by participation in the Activities and that the Activities may test physical and mental limits. PARTICIPANT VOLUNTARILY AND FREELY ASSUMES ALL RISKS AND DANGERS THAT MAY OCCUR PURSUANT TO ENTRY ONTO THE PROPERTY AND PARTICIPATION IN THE ACTIVITIES ON THE PROPERTY, INCLUDING THE RISK OF INJURY, DEATH, OR PROPERTY DAMAGE.

2. Participant’s Representations

Participant acknowledges that:(1) Participant is physically capable of participating in the Activities with no known underlying medical conditions that have not been cleared by Participant’s medical professionals;(2) Participant will at all times adhere to the Company’s rules and safety procedures while using fitness equipment and participating in the Activities as a participant or spectator;(3) Participant shall at all times follow all the rules and regulations for the Activities and the Property, as may be established or modified by the Company and/or landlord or landowner;(4) Participant has informed themself about the Activities and the physical requirements that will be involved in the Activities, either by previous participation in the Activities or pursuant to inquiries submitted to the Company;(5) Participant has fully read and understands each of the provisions of this Release, and prior to signing this Release had the opportunity to ask the Company questions.

3. Release from Liability

Participant hereby agrees, on behalf of Participant and Participant’s heirs and personal representatives, to fully and forever discharge and release KARDIOJAM, LLC and each of its predecessors, successors, affiliated entities, employees, and/or agents, coaches, trainers, attorneys, volunteers, representatives, heirs, and assigns (collectively “Released Parties”), past and present, from any and all claims, demands, and causes of action of any and every kind and nature, including, without limitation, claims for: negligent misrepresentation, non-disclosure, negligence, personal injuries, product liability, breach of express and implied warranty, emotional distress, property damages, illness, paralysis, temporary or permanent disability, death, economic loss, which you, your assignees, heirs, distributees, guardians, next of kin, and legal representatives now have, or may have in the future, related to:(i) the participation in the events or activities organized by the Company;(ii) the negligence or other acts, whether directly connected to these Activities or not, and however caused by any of the Released Parties for any other reason; or(iii) the condition of the Property where these activities occur, whether or not Participant is participating in the activities.

In the event Participant requires medical care or treatment, Participant shall be financially responsible for any and all costs incurred as a result of the medical care and treatment received. I acknowledge the health risks associated with the Activities, including but not limited to transient dizziness, lightheadedness, fainting, nausea, muscle cramping, musculoskeletal injury, joint pains, sprains and strains, heart attack, stroke, or sudden death. I agree that if I experience any of these or any other symptoms during the Activities, I will discontinue my participation immediately and seek appropriate medical attention.

Participant fully releases the Company and its Released Parties from covering any and all medical bills and treatment as a result of Participant’s participation in the Activities. Participant acknowledges and agrees that this Release is intended to be, and is, a complete release of any responsibility of the Released Parties for any and all negligent misrepresentation, non-disclosure, negligence, personal injuries, product liability, breach of express and implied warranty, emotional distress, property damages, illness, paralysis, temporary or permanent disability, death, or economic loss sustained by the Participant while on the Property or in any way related to the Activities.

4. Covenant Not to Sue

Participant agrees, for Participant and all of Participant's heirs and legal representatives, not to sue the Released Parties or initiate or assist in the prosecution of any claim for damages or cause of action against the Released Parties which Participant or their legal representatives may have as a result of any personal injury, death, or property damage the Participant may sustain while on the Property or participating in the Activities.

5. Indemnification

Participant hereby agrees to defend, indemnify, and hold harmless the Released Parties from and against any third-party losses, damages, actions, suits, claims, judgments, settlements, awards, interest, penalties, expenses (including reasonable attorneys' fees), and costs of any kind for any personal injury, loss of life, or damage to property sustained by reason of or arising out of Participant's involvement in any of the Activities or Participant's use of the Property, whether caused by the negligence of the Released Parties or otherwise.

6. No Duty to Supervise

Participant acknowledges and agrees that the Released Parties have no duty to supervise the activities of any participant or spectator, or any other person within the Property. The Released Parties assume no responsibility or liability for the acts or omissions of any such persons.

7. Waiver

No waiver of any term or right in this Release shall be effective unless in writing, signed by an authorized representative of the waiving party. The failure of any party to enforce any provision of this agreement shall not be construed as a waiver or modification of such provision, or impairment of its right to enforce such provision or any other provision of this agreement thereafter.

8. Sickness and Health Related Issues

While participating in events held or sponsored by KARDIOJAM, LLC and the Activities, participants are encouraged to engage in sanitation practices to reduce the risks of exposure to contagious illnesses, such as the cold, influenza, coronaviruses, and other infections. Participant shall not attend Activities and/or events sponsored by the Company if:(i) they currently or within the past forty-eight (48) hours have experienced any symptoms associated with influenza or a cold, which include fever, cough, sinus infections, nausea/vomiting, diarrhea, among others; or(ii) they believe they may have been exposed to any illness or have been diagnosed with a severe cold, influenza, or any other illness that is contagious and are not yet cleared as non-contagious by a healthcare provider.

9. Survival

Any provision of this Release providing for performance by either party after termination of this agreement shall survive such termination and shall continue to be effective and enforceable.

10. Governing Law and Venue

This Release will be governed by and interpreted in accordance with the laws of the State of North Carolina, without giving effect to its principles of conflicts of law. Participant agrees that any action arising out of this Release must be brought exclusively in Wake County, North Carolina, or the federal court located in the Eastern District of North Carolina.

11. Compliance with Laws

In the performance of the terms of this Release, use of the Property, and participation in the Activities, the parties shall comply with all applicable federal, state, regional, and local laws, rules, and regulations.

12. Severability

If any provision or portion of this Release shall be held by a court of competent jurisdiction to be illegal, invalid, or unenforceable, the remaining provisions or portions shall remain in full force and effect.

13. Entire Agreement; Modification; Binding Effect

This Release is the entire agreement between the parties with respect to the subject matter hereof and supersedes any prior agreements or communications, whether written, oral, electronic, or otherwise. No modification shall be valid unless in writing and signed by authorized representatives of the parties. This agreement shall be binding upon and inure to the benefit of the successors, assigns, and legal representatives of the parties.

14. Dispute Resolution

The parties agree that this Agreement shall be governed and construed in accordance with the laws of the State of North Carolina, without giving effect to its conflict of law principles. Any and all disputes, claims, or controversies arising out of or relating to this Agreement, including participation in any KARDIOJAM, LLC class or Activity, or any breach thereof, shall be resolved by binding arbitration in Raleigh, North Carolina, under the administration and rules of the American Arbitration Association (AAA).

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction located in Wake County, North Carolina, to protect intellectual property, confidential information, or prevent irreparable harm. The parties consent to the personal jurisdiction and venue of such courts for these purposes.

The arbitrator’s award shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction. Each party shall bear its own legal fees and costs unless otherwise awarded by the arbitrator.

15. Photo and Video Release

I, the undersigned, grant KARDIOJAM, LLC, and its agents the right to capture and use my photographic images and video footage for any purpose, including advertising and promotion in all media forms. I waive any rights to approve or inspect the final use, including any written material accompanying it. I release KARDIOJAM, LLC from any claims related to the use of my image, including alterations, distortions, or claims of invasion of privacy or libel. I confirm that I am over 18 years old, understand the release, and agree it binds me and my successors.

16. Copyright Acknowledgment

By signing this agreement, I further agree that the choreography is created by Nazanin (Nazy) Sayar and can only be used by Nazanin (Nazy) Sayar. I, as a participant, cannot duplicate the content for business use unless I am a certified instructor of KARDIOJAM, LLC.

17. Video Sharing and Privacy Policy

I assure that as a participant I will not record the class or a song in its entirety and will not post any full song choreography or full class videos online on any social platforms without permission from Nazanin Sayar, to respect the format, the content, as well as the privacy of the instructor and the participants.
