The talk will be follllowed by drinks.Dr John Tribe, University of Liverpool will discuss " Kids Company" and will be chaired by HHJ Neil Cadwallader.“This paper critically examines the May 2025 Kids Company judicial review judgment of Sheldon, J from a charity trustee conduct and insolvency perspective. What standards of skill and care do we expect from our charitable company director/trustees who use the corporate form to achieve charitable objects? Should there be a beneficient approach as determined by Falk, J in her February 2021 Kids Company unfitness judgment? Or should officeholders be held to the same high standards as director fiduciaries of for-profit companies?This paper argues that charity/trustee directors should be held to at least the same standard of competence as for-profit directors by virtue of, inter alia, their position as a trustee (fiduciary).The paper goes further and rejects the Falk, J beneficient approach and argues that the standard of care for charity company director/trustees should be higher to reflect the importance of charity and the vulnerability of charity objects as well as general concerns over accountability and expertise. This higher standard is referred to as the “higher public benefit standard” (HPBS) in this paper.”
