• There are various fiduciary duties that directors, officers, and managers must uphold in their respective roles, and all parties should be aware of what these duties require of them in their daily practice.
• The business judgment rule affords some protection against exposure for a fiduciary duty violation, but maintaining business judgment protection requires careful planning and often adherence to best operational practices.
• When conduct potentially violates a fiduciary duty, the claim often goes through the derivative process, and officers and directors should understand what is required of them to successfully navigate this complex process.
